Set Up an Indian One Person Company (OPC)
An OPC is a company form with one member and OPC-specific nominee requirements. Its incorporation still involves legal choices, current Companies Act and rule checks, name review, identity and registered-office evidence, MCA filing, and ongoing company duties. This workflow helps organize those decisions; it does not determine eligibility or provide legal or tax advice. MCA forms, attachments, fees, eligibility rules, and portal screens can change, so confirm each live requirement on the MCA portal before signing or paying. The Business Name Availability Checklist can organize a manual name review, but it cannot search MCA or trademark records or reserve a name.

Confirm that the OPC form fits and verify current eligibility
Write down the intended owner, business activity, expected funding and ownership plan, and whether outside co-owners or investors may be needed soon. An OPC has one member, so it may not fit a venture that needs multiple equity owners at incorporation. Before committing, check the current Companies Act and Companies (Incorporation) Rules for who may form or hold an OPC, nominee conditions, conversion or restructuring limits, and any exclusions applicable to the proposed activity. Do not rely on old articles for residency, membership, or capital thresholds: amendments may have changed them. If eligibility, regulated activity, foreign participation, or future ownership is uncertain, ask a company secretary or lawyer to confirm the current position in writing.

Shortlist a name and investigate conflicts
Prepare more than one name candidate and check that each is distinctive, appropriate for the proposed objects, and presented with the OPC designation required by the current naming rules. Review MCA's current name reservation guidance and search the MCA company/LLP records and trademark register for similar names or marks; a different spelling or suffix alone may not resolve a conflict. The Business Name Availability Checklist can record candidates, exact spellings, search dates, possible conflicts, and follow-up questions. It is a manual checklist only: it does not perform live MCA, trademark, or domain searches, and a completed checklist does not mean the Registrar will approve or reserve the name. Recheck the chosen name immediately before filing.

Choose a nominee and obtain informed consent
Identify the person who would become the member in the circumstances described by the current OPC law, discuss the role and consequences with them, and obtain their prior written consent in the format MCA currently requires. Confirm the proposed nominee's eligibility and exact identity details against current rules and the live form; the nominee is not automatically a co-founder, director, or substitute for deciding who will manage the company. Keep the consent and identity evidence private and share them only through the official filing route or with an authorized professional. If the nominee declines, withdraws consent, or the planned nominee is ineligible, stop and identify a valid replacement before filing; do not leave the field blank or attach a consent form for someone who has not agreed.

Prepare member, director, and registered-office information
Collect only the information and evidence called for by the current MCA instructions for the proposed subscriber/member, first director, nominee, and registered office. Check current director-number and residency rules, DIN/DSC and MCA user-profile steps, identity and address evidence, office ownership or occupancy, owner consent where applicable, and any special attestation requirements for overseas documents. Match names, dates, addresses, and identifiers across forms and source records before entry. Do not upload PAN, identity documents, DSC credentials, nominee records, or bank details to general-purpose checklist or file tools. Requirements can differ by the people involved and by the office location, so use the live SPICe+ attachment prompts and obtain professional review for unusual cases.

Draft the memorandum, articles, and incorporation particulars
Define the proposed company's objects, subscriber/member and share details, governance choices, registered office, and other incorporation particulars, then prepare the memorandum and articles using the current MCA route and applicable format. Make sure the name, objects, member, nominee, director, capital, and address data agree across every linked form and supporting document. The MCA instruction kits explain the filing structure but older kits can show legacy field names or processes; confirm the active V3 form, current attachments, signatures, DSC requirements, and validations before filing. Obtain a qualified company secretary or lawyer's review if the objects are regulated, the articles include special rights, or the member is unsure about capital, liability, or governance effects.

Submit the current SPICe+ application and linked services
Sign in through the official MCA portal and follow its current incorporation route for a new company. MCA's SPICe+ materials describe Part A for a new-company name and Part B for incorporation and linked services; confirm in the live V3 application whether to submit name reservation separately or together with incorporation and which linked forms apply to this OPC. Review every generated attachment and declaration, complete the portal's validations, submit through the authorized signatories, and pay only the amount and stamp duty calculated or directed by the official system for the current filing. Do not use a fee copied from an old FAQ or third-party site. Save the application/SRN, acknowledgement, payment receipt, submitted version, and filing date in a restricted company record.

Track processing, resolve resubmission, and establish ongoing records
Monitor the MCA application status and registered contact channels, respond to any resubmission notice by its stated deadline, and provide only the requested correction through the official application. Preserve each version and acknowledgement so the company can trace what was filed. After approval, independently check the Certificate of Incorporation, legal name, CIN, and other issued particulars against the filing; correct discrepancies through the official route. Then ask a qualified professional to build a dated compliance calendar for the company's current statutory books, board/member actions, accounts, annual filings, tax registrations or returns where applicable, and future nominee or ownership events. Incorporation approval is not a blanket business licence and does not replace sector, state, local, tax, or employment registrations that apply to the actual activity.
