Negotiate a U.S. job offer with a clear compensation plan

This workflow begins after you receive a written offer for a U.S. private-sector role. It is a planning guide, not legal, tax or investment advice; public wage data is an imperfect comparator and does not establish what an employer can or will pay. Confirm the job level, work location, pay schedule, bonus/equity conditions, benefits and response deadline in the actual offer. Do not invent a competing offer or accept terms you do not understand. State and local pay-transparency and employment rules can differ; ask an employment professional about restrictive covenants, immigration terms, unusual equity, repayment clauses or other legal issues. A respectful, evidence-based conversation lets both sides test whether the full package works.

    Acknowledge the written offer and create room to review it

    Thank the recruiter or hiring manager, confirm receipt, and ask when they need your decision if the deadline is missing. If you need time to compare terms, ask for a specific reasonable date rather than disappearing or assuming an extension. Confirm whether this is a formal offer, which entity will employ you, the expected work location and the person who can answer compensation questions. Keep the offer and follow-up in the employer's verified channel. Do not resign from your current role, stop interviewing or make relocation commitments solely from a verbal summary when the written offer is still pending. Record open questions, the date received and the response deadline so you can negotiate deliberately and preserve a professional relationship.

    Compare the full package and clarify conditional terms

    Read the complete written offer and list base pay, pay frequency, sign-on payment, target bonus and its actual conditions, equity type and vesting/forfeiture rules, health and retirement benefits, paid leave, work location, remote expectations, hours, start date, review cycle and any repayment or restrictive terms. Separate guaranteed cash from estimates, discretionary awards, unvested equity and benefits that depend on eligibility or continued employment.     Set a target and priorities using comparable evidence

    Compare the role, level, location, industry and your relevant experience—not just the job title. Review the employer's published range and current comparable postings, and use the U.S. Bureau of Labor Statistics Occupational Employment and Wage Statistics tables for occupation and geography context. BLS estimates describe broad wage distributions, not this employer's pay band, a current offer guarantee or equity value. Note the data year and how closely each comparator matches. Write three private numbers or packages: your aspirational request, the outcome you would accept, and the point where the offer no longer works for you.     Make a concise, professional counterproposal

    Ask for a short conversation with the person who can approve offer terms. Start by reaffirming your interest, then name one primary request and a brief reason tied to the role, your relevant evidence, the stated range or credible market data. Ask an open question such as which parts of the package have flexibility. If base salary is fixed, explore the priorities you listed instead of repeating the same demand; offer alternatives only when you would genuinely accept them. Keep factual claims accurate, avoid ultimatums or fabricated competing offers, and do not commit before hearing the response. Harvard Law School's Program on Negotiation recommends approaching the conversation as the start of a working relationship and considering more than salary; its advice is guidance, not a guarantee that any employer will negotiate. Summarize the agreed next step and date in writing.

    Review the final written offer before accepting or declining

    When the employer responds, compare the revised written terms—not just the call—to your priorities and minimum acceptable package. Confirm base amount, pay frequency, bonus formula and eligibility, equity quantity/type/vesting, benefits start date, work location, title/level, schedule, contingencies, start date, response deadline and any agreement you must sign. Recalculate only figures that the employer has confirmed; do not treat a verbal promise about a future raise, promotion or grant as part of the offer until documented. Ask for corrections if the final letter differs from what you agreed. For complex equity, immigration, intellectual-property, noncompete or repayment provisions, seek qualified legal or tax advice before signing. Accept or decline through the employer's stated process by the confirmed deadline, save the final signed documents securely and notify the recruiter courteously.
