Incorporate an Indian private limited company through MCA V3

This guide covers a standard Indian private limited company application through the Ministry of Corporate Affairs (MCA) V3 portal. It does not replace advice on whether a company is the right entity, shareholder or director eligibility, tax registrations, foreign subscribers, Section 8 status, regulated activities, or state-specific stamp duty. MCA's live portal, Companies Act/rules and current form instruction kits control the requirements. The application contains director/subscriber identity documents, declarations and digital signatures: prepare and submit those only through MCA or a qualified professional's secure process, never through a general Nirmion file utility.

Confirm the company type and promoter structure with current MCA rules; check and reserve an available name in SPICe+ Part A; gather registered-office, subscriber, director, capital, business-object and constitutional-document details; register on MCA V3, associate required DSCs and complete SPICe+ Part B plus applicable linked forms; pay the portal-calculated fees/stamp duty, track resubmission or processing status, and verify the issued Certificate of Incorporation and company identifiers.

    Confirm the proposed company structure before reserving a name

    Decide whether a private limited company fits the business, ownership and fundraising plan, then confirm the current Companies Act requirements for members, directors, registered office, share capital, residency, restricted objects and any regulated activity. Identify every subscriber and first director, their share allocation, the proposed principal business activity/NIC code and the state where the registered office will be located. A private company is not an LLP, OPC, Section 8 company or branch office; those use different rules or forms. If a founder is outside India, a minor is involved, the activity is regulated, or ownership is complex, get company-secretarial/legal advice before filing so you do not build the application around an ineligible structure.

    Check the name and submit SPICe+ Part A through MCA V3

    Create or sign in to the MCA V3 portal with the applicant account intended to file the incorporation set. Prepare more than one defensible name option and check MCA company/LLP records and the Trade Marks Registry for identical, confusingly similar or restricted names. Use SPICe+ Part A and select the correct company type, class/category and business activity; the name and proposed objects should fit. Follow the portal's live auto-checks, pay any displayed reservation fee and save the SRN and status. Do not order branding or assume a name is approved until MCA confirms it. MCA's incorporation FAQ says the applicant ID used for reservation is also used to continue the linked Part B filing; follow the current portal instructions if this behavior changes.

    Prepare the registered-office, director, subscriber and constitutional records

    Use MCA's current SPICe+ Part B and linked-form instructions as a field-by-field checklist. Prepare the registered-office address proof and owner/landlord consent where required; identity and residential-address proof for subscribers/directors; subscriber details and proposed capital/share allocations; declarations and consents; and the Memorandum and Articles of Association in the prescribed electronic or attachment format. Verify that names, dates, addresses, objects, share totals and DSC signatories match across every form and proof. For foreign subscribers or non-standard documents, check the notarisation, apostille/consularisation and translation rules with MCA or a qualified professional. Keep originals and sensitive identity/DSC material in secure storage and upload only through the official MCA workflow.

    Complete SPICe+ Part B and applicable linked forms with associated DSCs

    Before filing, make sure each required signatory has the correct MCA V3 business-user profile and associated digital signature certificate (DSC). Open the approved Part A application and complete SPICe+ Part B carefully, including company structure, office, subscribers/directors, capital, objects, PAN/TAN information, declarations and attachments. Complete the linked e-MOA/e-AOA, INC-9 and AGILE-PRO-S or other forms the live application requires. Review each linked form before submission; optional registrations such as GST depend on eligibility and the founders' choice, while other linked services may be mandatory under current MCA instructions. Do not copy a prior company's forms or invent a jurisdiction, activity code or declaration to bypass a portal validation.

    Pay, track the application and verify the official incorporation outcome

    Run the portal's validation, correct each error and confirm every DSC is applied to the intended form. Submit the complete incorporation set, pay the fees and state stamp duty calculated by MCA, and save the SRN, payment receipt and complete filed copy. Use MCA V3's application history/status to monitor processing. If MCA issues a resubmission notice, note its deadline, address each point with the specific corrected evidence/form and retain the resubmission acknowledgement; do not submit a second company application just because the first is pending. When approved, download the Certificate of Incorporation and verify the legal name, CIN and attached PAN/TAN information. Record the next statutory, tax and commencement filings from current MCA guidance or a qualified company secretary; incorporation does not automatically complete every post-incorporation obligation.
