Register an Indian LLP through the MCA portal
This is a practical filing sequence for a new domestic LLP under India?s MCA process. It is not for converting a partnership/company, a foreign LLP, or resolving complex partner eligibility, regulated-business, tax, or state-stamp questions. Confirm the current FiLLiP/RUN-LLP webform instructions and applicable rules on MCA before filing because form labels, fees, and requirements can change. A company secretary or other qualified professional can review unusual ownership, foreign participation, regulated activity, or legal/tax consequences.

Agree the LLP structure before entering the portal
Confirm that an LLP is the structure the founders intend to use and that this guide?s new domestic incorporation scope fits. Agree the proposed business activity, partner identities, contributions, profit-sharing approach, designated-partner roles, and a proposed Indian registered office. The LLP Act requires at least two partners and at least two individual designated partners, with at least one designated partner resident in India; body-corporate partners have additional nominee rules. Record decisions in a private working sheet and obtain consent from each proposed partner. If a partner is a body corporate, a foreign person is involved, the business is regulated, or the structure is being converted from an existing entity, pause and confirm the exact route with a qualified professional and the current MCA rules.

Check the proposed name and choose the reservation route
Prepare distinguishable name options and describe the LLP?s real business object accurately. Check the current MCA name rules, existing entity names and relevant trademarks; do not assume that a domain or social handle means a name is legally available. The MCA offers RUN-LLP for name reservation, and FiLLiP instructions also provide for entering a proposed name when it has not already been approved. If using RUN-LLP, save the service request number and verify the name?s current validity window in MCA before relying on it. Business Name Availability Checklist ID 204 can track registry, trademark, domain and social research, but it does not search the live MCA register or approve a name.

Prepare partner, office, consent and digital-signature evidence
Use the current FiLLiP instruction kit to build the attachment list for each proposed partner/designated partner and the registered office. Gather identity/address evidence, written consent and authority where applicable, office proof and any required owner no-objection or supporting attachments. Confirm spelling, dates, addresses, contribution figures and partner roles across every document. The proposed signatory must meet the current MCA user-registration and DSC-association requirements; verify the portal?s current user type and signature steps rather than relying on an old screenshot. Keep identity documents and signed agreements in access-controlled storage and do not upload extra personal information that the form does not request.

File FiLLiP in MCA V3 and track the SRN to an incorporation result
Sign in through the official MCA portal, open the current LLP incorporation service, and complete FiLLiP using the live form and instruction kit. If the name was reserved earlier, enter the RUN-LLP service request number exactly; otherwise follow the proposed-name route shown by FiLLiP. Enter partner and designated-partner details, registered-office details, contribution and required declarations, attach the requested evidence, digitally sign, and pay the fee shown by the portal. Save the submitted form, payment receipt and service request number. Monitor MCA application history and respond to a resubmission request through the portal within its stated period. Do not treat submission or payment as incorporation: confirm that MCA has issued the Certificate of Incorporation and LLPIN, and check the name and core particulars against the submitted record.

File the initial LLP Agreement and verify the post-incorporation record
After incorporation, have the partners finalize and execute an LLP Agreement that states their actual rights, responsibilities, contributions and profit-sharing terms. MCA?s current published Form 3 LLP FAQ says the initial agreement information is to be filed with the Registrar within 30 days of incorporation; state stamp-duty treatment and execution requirements depend on the applicable state, so confirm these before signing. Submit the current Form 3 purpose for the initial agreement, pay the displayed fee, save the SRN and filed copy, and verify that the filing is approved and the partner/profit-share particulars match the agreement. Use Compliance Calendar ID 11861 only to organize deadlines confirmed from MCA and applicable state/professional advice; the tool does not calculate statutory obligations. Separately check PAN/TAN, GST, local registrations and ongoing filings for this LLP?s facts before it begins operations.
